Premises is leased strictly for commercial use only, and solely for the business activity expressly stated in the Tenant’s valid Trade License issued by the relevant UAE authorities. The Tenant shall not use, or permit the use of, the Premises for any unlawful, illegal, immoral, the unauthorized, or non-licensed activity, nor for any purpose that may cause nuisance, annoyance, disturbance, or inconvenience to other occupants of the building.
Use of the Premises without a valid Trade License, or for any activity not endorsed therein, is strictly prohibited. The Tenant shall immediately notify the Management if:
▪ the Tenant’s Trade License is suspended, expired, cancelled, or revoked.
▪ the Tenant ceases to be licensed by Dubai Municipality or any competent authority; or
▪ the Tenant, its shareholders, manager, or authorized signatory ceases to be sponsored or employed in compliance with UAE immigration laws.
In the event the Tenant fails to regularize the above within the legally prescribed timeframe, Czar Workspace reserves the right to terminate this Agreement by providing one (1) month’s written notice, without prejudice to any other rights available under law.
Major maintenance of the building, including but not limited to structural elements, roof works, and main drainage systems, shall remain the sole responsibility of the Landlord. All other maintenance, repairs, and replacements arising from normal use, misuse, or negligence shall be borne entirely by the Tenant.
The Tenant shall promptly notify the Landlord of any damage, defect, flooding, or incident affecting the Premises. The Tenant shall be fully liable for the cost of repairs necessitated by negligence or misuse by the Tenant, its employees, agents, or visitors.
The Tenant irrevocably grants the Landlord and its representatives the right to enter the Premises at any reasonable time, with or without the Tenant’s presence, for inspection, maintenance, repairs, or emergency purposes.
The Landlord shall be responsible for the maintenance of air-conditioning, plumbing, water supply, and electrical systems provided with the Premises, and reserves the right to temporarily suspend such services due to emergency, repairs, replacement, or improvements, without liability.
Insurance of all contents, equipment, furniture, documents, and personal belongings within the Premises shall be the sole responsibility of the Tenant. The Landlord shall not be liable for any loss or damage arising from fire, theft, flood, accident, or any force majeure event.
Failure by the Tenant to ensure its contents shall be entirely at the Tenant’s own risk, and the Tenant hereby indemnifies and holds the Landlord harmless against all claims, losses, or damages arising therefrom.
Returned cheques shall attract a charge of AED 1,000 per cheque. A grace period of four (4) working days shall be allowed for settlement, failing which an additional penalty of 20% of the cheque amount shall apply.
If payment is not settled within fifteen (15) days from the cheque return date, the Landlord reserves the absolute right to terminate this Agreement without further notice, repossess the Premises, deduct all outstanding amounts from the Security Deposit, and initiate legal proceedings, including eviction.
The Landlord reserves the right to:
▪ deduct unpaid rent, utilities, penalties, and charges from the Security Deposit.
▪ collect 5% VAT and any other applicable government taxes.
▪ charge AED 300 (non-refundable) for lost or additional access cards.
The Security Deposit shall be refunded within 60 working days following final inspection and approval, subject to deductions. In the event of early termination or breach, the Security Deposit shall stand forfeited.
Rental renewal shall be reviewed three (3) months prior to expiry. Any rent increase shall strictly comply with RERA regulations, the 2009 Rent Cap, and the Rental Index.
Renewal payments must be completed at least one (1) month prior to commencement of the renewed term. Renewal remains entirely at the discretion of the Landlord.
Failure to renew on time shall attract an overstay charge of 1% per month, without prejudice to eviction rights. The Tenant shall not assign, sublet, or transfer occupancy under any circumstances.
The Landlord may freely assign or transfer its rights and obligations without Tenant consent.
The Tenant may terminate this Agreement only after completion of the lock-in period, by serving three (3) months’ prior written notice. Under no circumstances shall termination or notice be accepted during the lock-in period.
In case of breach, including non-payment or dishonoured cheques, failure to provide the required three (3) months’ notice, whether prior to renewal or during the post lock-in period, the Landlord may terminate the Agreement forthwith, repossess the Premises, and the shall retain Tenant’s Security deposit without liability.
This Agreement shall remain irrevocable for a minimum period of six (6) months from commencement. No termination, cancellation, or breach shall be permitted during this period.
The Tenant confirms receipt of the Premises in good condition. Upon vacating, the Tenant shall return the Premises in original condition.
Inspection shall be conducted by Czar Workspace, and all repair / refurbishing / upkeep costs shall be deducted from the Security Deposit. Refund timelines shall be 60–90 working days, depending on breach status.
The Tenant shall comply with all building and master developer rules. Administrative services operate from 9:00 AM to 6:00 PM, Monday to Saturday (except second Saturday). Utilities including DEWA, Internet, and AC are included unless otherwise specified.
Printing, meeting room credits, pantry services, and other amenities shall be provided as per prevailing Czar Workspace policies and pricing, subject to change.
1. Printing & Photocopying Services
The Tenant shall be entitled to a complimentary allocation of two hundred (200) pages of black-and-white printing or photocopying per calendar month. Any usage exceeding the complimentary allocation shall be billed monthly in arrears at the prevailing rates determined by Czar Workspace, as follows:
▪ A4 Black & White: AED 0.50 per page
▪ A4 Colour: AED 1.00 per page
▪ A3 (Black & White or Colour): AED 1.00 per page
Unused complimentary printing pages shall not be carried forward to subsequent months, shall have no cash value, and shall lapse automatically at the end of each billing cycle.
Czar Workspace reserves the right to revise the above rates upon prior notification or upon renewal of the Agreement.
2. Scanning Services
Scanning services shall be provided free of charge, subject to reasonable and fair usage as determined by Czar Workspace. Management reserves the right to impose restrictions or charges in cases of excessive or commercial-scale usage.
3. Meeting Room Usage & Credits
The Tenant shall be entitled to twelve (12) hours or 1,200 credits per calendar month for the use of designated meeting or conference rooms, subject to availability and prior booking. Unused complimentary printing pages or meeting room credits shall not be carried forward to subsequent months, shall have no cash value, and shall lapse automatically at the end of each billing cycle.
Any usage exceeding the complimentary allocation shall require the Tenant to purchase additional credit bundles at the rate of AED 100 per hour, available through the CZAR App or such other platform as designated by Management.
4. Booking & Usage Conditions
Meeting rooms must be booked at least one (1) working day in advance through the reception or authorized booking system. All bookings are subject to availability, and Czar Workspace reserves the right to reschedule or cancel bookings in case of operational requirements, emergencies, or policy violations.
Optional services including PRO, accounting, legal, marketing, staffing, and secretarial support shall be chargeable as per agreed monthly rates.
Notwithstanding anything contained herein, Czar Workspace reserves the irrevocable right to relocate, reassign, or accommodate the Tenant to any other office, floor, unit, or location operated by Czar Workspace, whether within the same building or at any other Czar Workspace facility, in the event the existing Premises is required to be vacated, discontinued, surrendered, or rendered unavailable due to expiration, termination, non-renewal, or any contractual, legal, or regulatory obligation arising from Czar Workspace’s agreement with its landlord or any competent authority.
Such relocation shall be to a comparable workspace, as reasonably determined by Czar Workspace, subject to availability. The Tenant agrees that such relocation shall not constitute breach, frustration, or grounds for termination, compensation, rent abatement, or damages.
The Tenant shall fully indemnify, defend, and hold harmless Czar Workspace, its owners, directors, employees, and agents against all claims, liabilities, losses, damages, penalties, legal costs, or expenses arising from:
▪ Tenant’s use or occupation of the Premises.
▪ violation of laws, regulations, or license conditions.
▪ claims by employees, visitors, or third parties; or
▪ breach of this Agreement.
The Landlord shall not be liable for any indirect, consequential, or incidental losses whatsoever.
15.1 Pricing & Commercial Terms
All pricing, rental rates, service charges, utility inclusions, meeting room credits, parking fees, fit-out charges, penalties, and ancillary fees applicable to the Premises shall be as per the prevailing Czar Workspace pricing schedule, proposal, quotation, or invoice issued to the Tenant from time to time. Czar Workspace reserves the right to revise pricing, services, or inclusions upon renewal or as required by law, market conditions, or operational necessity.
15.2 Included & Chargeable Services
Services may include, subject to the selected package: furnished office space, utilities (DEWA), internet connectivity, air-conditioning, housekeeping, reception services, meeting room access, pantry facilities, and administrative support. Any services not expressly included shall be chargeable as per Czar Workspace’s prevailing rates.
15.3 Fit-Out, Furniture & Modifications
The Premises are provided in a fitted and furnished condition as determined by Czar Workspace. The Tenant shall not carry out any fit-out, alteration, cabling, branding, or modification without prior written consent. Any approved works shall be carried out strictly in compliance with UAE civil defence, municipality, and building regulations. All fixed improvements shall vest with the Landlord upon expiry or termination without compensation.
15.4 House Rules & Operational Policies by Czar Workspace & Respective Building Management
The Tenant agrees to comply with all House Rules, operational policies, safety guidelines, and community standards issued by Czar Workspace from time to time, including but not limited to access control, noise levels, common area usage, security protocols, health & hygiene requirements, and IT usage policies. Violation of House Rules shall constitute a material breach of this Agreement.
The Tenant shall always comply with all applicable federal and emirate-level laws of the United Arab Emirates, including but not limited to:
▪ UAE Civil Code (Federal Law No. 5 of 1985).
▪ Dubai Law No. 26 of 2007 and Law No. 33 of 2008 (as amended) regulating landlord–tenant relationships.
▪ Regulations issued by RERA, Dubai Municipality, DED, and relevant Free Zone Authorities.
▪ UAE Immigration, Labour, and Commercial Companies Laws.
▪ Civil Defence, health, safety, and environmental regulations.
Failure to comply with any applicable law shall constitute grounds for immediate termination without liability to Czar Workspace.
This Agreement, including all schedules, pricing, services, house rules, and policies, shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applicable in the Emirate where the Premises are located. The courts of the relevant Emirate shall have exclusive jurisdiction, without prejudice to Czar Workspace’s right to seek injunctive or summary relief.
OTHER CONDITIONS (APPLICABLE TO ALL UAE LOCATIONS)
1.Limitation of Liability – Use of Facilities
The Landlord shall not be liable for any loss, damage, injury, accident, or inconvenience suffered by the Tenant, its shareholders, directors, employees, agents, visitors, or invitees arising out of or in connection with the use of the Premises, common areas, or any facilities, equipment, or amenities provided within the Business Center, except where such liability is mandatorily imposed under applicable laws of the United Arab Emirates.
2.Parking – No Liability
The Landlord shall not be responsible or liable for any loss, theft, damage, or vandalism to any vehicle, accessories, or personal property parked or left within the premises or designated parking areas, whether allocated or otherwise.
3.Government Fees & Statutory Obligations
The Tenant shall be solely responsible for the payment of all fees, fines, penalties, levies, and statutory charges imposed by any federal or local authority, including but not limited to the Department of Economy & Tourism (DET/DED), Free Zone Authorities, Dubai Municipality, Immigration, Labour Department, or any other competent authority, in relation to the Tenant’s business, licensing, visas, operations, or regulatory compliance.
4.Telecommunication Services
Where the Tenant opts for an extended fixed telephone line connection provided by Czar Workspace, the same shall be charged a fixed fee of AED 50 per month, in addition to actual monthly usage charges for mobile and international calls & call diversion facilities (if applicable), all shall be billed strictly on actual usage basis.
5. Furniture & Fit-Out Inclusions
Unless otherwise agreed in writing, the standard office configuration includes two (2) tables and three (3) chairs. Any additional table requested by the Tenant shall be charged at AED 1,250 plus applicable VAT.
6.Parking
Parking spaces, if required, shall be charged for a minimum of AED 4,500 per annum or more, subject to availability and building or master developer regulations. Allocation of parking remains at the sole discretion of the Landlord.
7.Housekeeping Services
The Business Center shall provide standard housekeeping services twice per week for general cleanliness of the Premises. Any additional, specialized, or ad-hoc cleaning services requested by the Tenant shall be chargeable at prevailing rates.
8.Prohibitions
Pets are strictly prohibited, Smoking, including the use of electronic cigarettes or vaping devices, is strictly prohibited within the Premises and all common areas. In the event of any violation, the Landlord shall have the absolute right to immediately terminate the Agreement, forfeit all amounts paid under the contract, and impose an additional penalty of AED 5,000, without prejudice to any other legal rights or remedies.
9.Nameplate Charges
A charge of AED 300 shall be payable by the Tenant for issuance of any additional or replacement nameplate.
These terms apply uniformly across all Czar Workspace / Czar Business Center locations within the United Arab Emirates. Czar Workspace reserves the right to amend these Terms & Conditions from time to time as required by law or operational necessity.
